By using our Services, you agree to all provisions within these Terms.
Welcome to the Terms of Service (the “Terms”) of Times Two Music Group (“Times Two,” “we,” “our,” or
“us”). We provide access to artist content, fan subscription features, exclusive content, and related services
through our platform (collectively, the “Services”).
These Terms form a legally binding agreement between you (“Fan,” “user,” or “you”) and Times Two.
PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Services, you acknowledge that
you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the
Services.
2.) Account Creation and Eligibility

You must be at least eighteen (18) years old or have parental / guardian consent.
Eligibility
To use the Services, you agree that you:
- Are at least eighteen (18) years old or have legal guardian consent
- Have the legal ability to enter into this Agreement
Account
You may be required to create an account. You agree to:
- Provide accurate and current information
- Maintain the security of your account
- Be responsible for all activity under your account
Times Two is not liable for unauthorized access due to your failure to secure your account.

We may modify the Services or these Terms at any time.

We reserve the right to:
- Add, modify, suspend, or remove platform features
- Adjust pricing for fan subscriptions
- Update platform functionality
Changes to Terms
We may update these Terms at any time. Continued use of the Services constitutes acceptance of updated
Terms.
4.) Privacy

We respect your privacy. Our data practices are outlined in our Privacy Policy, which is incorporated into
these Terms.
5.) Our Intellectual Property Rights
Our Intellectual Property Rights
All platform technology, branding, systems, and content (excluding Artist-owned content) are owned by
Times Two.
You are granted a limited, non-exclusive, non-transferable license to use the Services for personal,
non-commercial use only.
You may not:
- Copy, reproduce, distribute, modify, or exploit platform materials without permission
- Use platform features for commercial purposes
6.) User Content and Feedback
User Content and Feedback
You may interact with content and, where applicable, submit comments, messages, or feedback (“User
Content”).
License to Times Two
By submitting User Content, you grant Times Two a:
- Non-exclusive
- Worldwide
- Royalty-free license
to display, host, reproduce, and use such content in connection with the Services.
Responsibility
You agree that:
- Your User Content does not violate any law or third-party rights
- Your User Content is respectful and non-abusive
Times Two reserves the right to remove User Content at its discretion.
7.) Rules for Accessing and Using the Services
Rules for Accessing and Using the Services
You agree not to:
- Harass, threaten, stalk, abuse, or impersonate artists, other users, or Times Two personnel
- Post, upload, transmit, or share hateful, abusive, defamatory, discriminatory, obscene, pornographic,
violent, or otherwise unlawful content
- Engage in bullying, harassment, spam, scams, fake engagement, bot activity, or fraudulent conduct
- Attempt to access restricted areas, backend systems, accounts, or non-public platform features without
authorization
- Copy, record, download, redistribute, screen record, reproduce, sell, or commercially exploit exclusive artist
content without permission
- Circumvent subscription paywalls, payment systems, or access restrictions
- Use the platform in a way that disrupts, damages, overburdens, or interferes with the Services or other
users’ experience
- Use the Services for any unlawful purpose or in violation of applicable laws
Times Two reserves the right, in its sole discretion, to:
- Remove content, comments, messages, or interactions
- Restrict access to features or content
- Suspend or terminate accounts
- Revoke subscription access
- Investigate conduct that may violate these Terms
Times Two may take such action without prior notice where reasonably necessary to protect:
- Artists
- Fans
- Platform integrity
- Legal compliance
Violation may result in suspension, termination, loss of access, and other action permitted by law.
8.) Legal Compliance
Legal Compliance
We may access, preserve, or disclose your information if required by law or reasonably necessary to:
- Comply with legal obligations
- Enforce these Terms
- Protect users, artists, or the platform
9.) Payments and Fan Subscriptions
Payments and Fan Subscriptions
Fan Subscriptions
Fans may subscribe to artists for exclusive content and experiences.
By subscribing, you agree that:
- Subscription payments are billed on a recurring basis (such as monthly) until canceled
- You authorize Times Two and its payment processors to charge your selected payment method
- Subscription fees are non-refundable except where required by law
Access to Content
- Subscription grants access to exclusive artist content while active
- If your subscription ends, access to exclusive content may be revoked immediately
Platform Fee Acknowledgment
You acknowledge that:
- Times Two retains a percentage of subscription revenue as a platform fee
- The remaining portion is allocated to the applicable artist
10.) Third-Party Services
Third-Party Services
Our platform may integrate with third-party services, including payment processors, hosting providers, and
analytics tools.
Times Two is not responsible for third-party services, outages, errors, policies, or terms.
11.) Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Times Two does not guarantee:
- Continuous access to content
- Error-free operation
- Availability of specific artists, content, or features
- That subscriptions will meet your expectations
12.) Limitation of Liability
Limitation of Liability
To the fullest extent permitted by law:
Times Two shall not be liable for:
- Loss of access to content
- Subscription dissatisfaction
- Platform interruptions
- Lost data, revenue, or opportunity
Times Two’s total liability shall not exceed the amount you paid to Times Two in the twelve (12) months
preceding the claim, or one hundred dollars ($100), whichever is greater.
13.) Indemnification
Indemnification
You agree to indemnify, defend, and hold harmless Times Two, its affiliates, officers, employees, contractors,
and partners from claims arising out of:
- Your use of the Services
- Your violation of these Terms
- Your User Content
- Your interactions with artists or other users
14.) Termination
Termination
Times Two may suspend, restrict, or terminate your account at any time for violations of these Terms or for
conduct that harms the platform.
You may stop using the Services at any time.
Upon termination:
- Access to subscriptions, features, and exclusive content may be revoked
- Your account may be disabled or removed
15.) Governing Law
Governing Law
These Terms shall be governed by the laws of the State of California.
Any dispute arising out of or relating to these Terms shall be brought in the state or federal courts located in
Los Angeles County, California.
Any claim must be filed within one (1) year after the claim arises.
16.) General Terms

These Terms represent the entire agreement between you and Times Two regarding the Services.
- If any provision is found invalid, the remaining provisions remain in effect
- Times Two may assign these Terms without restriction
- You may not assign or transfer your rights without Times Two’s prior written consent

“us”). We provide music distribution services, fan subscription monetization tools, content hosting, artist
tools, and related services through our website and platform (collectively, the “Services”).
These Terms form a legally binding agreement between you (“Artist,” “user,” or “you”) and Times Two.

you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the

5.) Our Intellectual Property Rights

All platform technology, systems, branding, tools, and software are owned by Times Two.

You may upload music, videos, artwork, images, messages, and other materials (“User Content”).
Ownership
You retain ownership of your User Content, subject to rights granted herein and in any separate distribution
agreement.
License to Times Two
By uploading or submitting User Content, you grant Times Two a:
- Non-exclusive
- Worldwide
- Royalty-free license
to host, display, reproduce, distribute, administer, promote, and monetize your content in connection with
the Services.
Responsibility
You represent and warrant that:
- You own or control all rights necessary for your User Content
- Your User Content does not infringe third-party rights
- All metadata and ownership information provided is accurate
Times Two may remove, restrict, or disable User Content at its discretion.
7.) Rules for Accessing and Using the Services

You agree not to:
- Upload, submit, distribute, or monetize content that you do not own or control, or that infringes any
third-party rights
- Upload false, misleading, incomplete, or inaccurate metadata, ownership information, splits, or rights
details
- Engage in fraud, artificial streaming, bots, fake engagement, playlist manipulation, or any conduct
intended to improperly inflate streams, views, royalties, or platform performance
- Harass, threaten, abuse, impersonate, or interfere with other artists, fans, users, or Times Two personnel
- Upload hateful, abusive, defamatory, obscene, discriminatory, violent, or unlawful content
- Attempt to access, scrape, interfere with, reverse engineer, or disrupt backend systems, dashboards,
accounts, APIs, or platform infrastructure
- Copy, replicate, resell, sublicense, exploit, or misuse any aspect of the platform or Services without written
permission
- Circumvent platform rules, payment systems, security measures, or access restrictions
- Use the Services for illegal purposes or in violation of applicable laws
Times Two reserves the right, in its sole discretion, to:
- Remove or restrict content
- Delay, reject, or suspend releases or uploads
- Suspend monetization or payouts
- Restrict access to features
- Investigate suspicious conduct
- Suspend or terminate accounts
Times Two may take such action without prior notice where reasonably necessary to protect:
- Artists
- Fans
- Rights holders
- Platform integrity
- Legal compliance
Violation may result in suspension, termination, removal of content, loss of access, withholding of earnings
where permitted by law, and any other action available under these Terms or applicable law.
8.) Legal Compliance
Legal Compliance
We may access, preserve, or disclose your information if required by law or reasonably necessary to:
- Comply with legal obligations
- Enforce these Terms
- Protect users, rights holders, or the platform
9.) Payments
Payments
If you use paid features, you agree to applicable payment terms.
Artist Subscription Fee
Artists may be required to pay a monthly fee (such as ten dollars ($10) per month) to access platform tools or
features.
Fan Subscription Monetization
By enabling, offering, or participating in fan subscription features through the Services, you acknowledge
and agree to the following:
Subscription Pricing
- Artists may offer fan subscription access through the platform at a base subscription price of five dollars
($5.00) per month, unless otherwise permitted by Times Two
- Times Two reserves the right, in its sole discretion, to approve, modify, limit, suspend, or discontinue
subscription pricing tiers, features, or offerings at any time
Revenue Split
- Times Two shall retain twenty percent (20%) of gross fan subscription revenue generated through the
platform as a platform service fee
- The remaining eighty percent (80%) shall be allocated to the Artist, subject to:
- payment processor fees
- transaction fees
- refunds
- chargebacks
- taxes
- fraud prevention holds
- other applicable third-party deductions or adjustments
- Times Two may automatically deduct any such fees, reserves, or adjustments prior to payout
Content Ownership and Rights
- Artists retain ownership of original subscription content uploaded or provided through the platform,
including exclusive videos, music, images, written content, livestreams, and related materials (“Subscription
Content”), subject to rights granted herein
- By uploading or providing Subscription Content, Artists grant Times Two a non-exclusive, worldwide,
royalty-free license to:
- host
- display
- stream
- reproduce
- distribute
- market
- promote
- administer
such Subscription Content solely in connection with operating, improving, marketing, and providing the
Services
- Times Two shall not claim ownership of Artist content solely by virtue of hosting it on the platform
- Artists represent and warrant that:
- they own or control all rights necessary for Subscription Content
- Subscription Content does not infringe third-party rights
- they have secured all necessary permissions, licenses, splits, and clearances
Artist Responsibilities
Artists are solely responsible for:
- determining what exclusive content or benefits are offered to subscribers
- maintaining the quality and accuracy of promised subscription benefits
- complying with platform content standards and applicable laws
Times Two may remove, restrict, suspend, or disable subscription content or monetization features if:
- content violates these Terms
- artist fails to deliver promised benefits
- suspicious activity, fraud, or abuse is suspected
- reasonably necessary to protect users or the platform
Statements and Payouts
- Subscription revenue statements shall be made available to Artists on a monthly basis, subject to platform
reporting schedules and third-party processing timelines
- Artists may request withdrawal of available subscription earnings after account verification and compliance
review
- Minimum payout threshold shall be twenty-five dollars ($25.00) in available cleared balance
- Subscription payouts shall be processed through Times Two’s designated payment processor (including
Stripe or successor providers), and are subject to processor settlement timelines, account verification
requirements, reserve holds, chargebacks, refunds, fraud review, and applicable processing or transaction fees
- Payout timing may vary depending on:
- payment processor processing times
- fraud review
- account verification
- banking delays
- Times Two reserves the right to place temporary holds, reserves, or delays on payouts where reasonably
necessary for:
- fraud prevention
- disputes
- chargebacks
- legal compliance
- platform protection
Changes to Subscription Program
- Times Two reserves the right to modify subscription pricing, platform fees, revenue splits, payout timing,
minimum thresholds, features, or monetization policies at any time upon reasonable notice
- Continued use of subscription features following any such changes constitutes acceptance of the updated
terms
10.) Third-Party Services

Our platform may integrate with third-party services, including:
- Distribution partners
- Payment processors
- Hosting providers
- Analytics vendors
Times Two is not responsible for third-party outages, services, actions, or terms.
11.) Disclaimer of Warranties

- Error-free operation
- Specific financial results, earnings, exposure, placements, or outcomes

Times Two shall not be liable for:
- Lost profits, revenue, or business opportunity
- Data loss
- Platform interruptions
- Delayed payments or third-party reporting issues
Times Two’s total liability shall not exceed the amount paid by you to Times Two during the twelve (12)
months preceding the claim, or one hundred dollars ($100), whichever is greater.

- Your User Content

- Your infringement or violation of third-party rights

Times Two may suspend, restrict, or terminate your account or access to the Services at any time for
violations of these Terms, any separate distribution agreement, or conduct that harms the platform.
You may stop using the Services at any time.
Upon termination:
- Access may be revoked
- Content may be removed, disabled, retained, or archived for legal, reporting, compliance, operational, or
business purposes
15.) Governing Law

These Terms shall be governed by the laws of the State of California.

1.) Term

This Agreement applies to all Releases delivered through Times Two.
- This Agreement operates on a per-release basis
- Artist may stop submitting new Releases at any time
- Any Releases distributed through Times Two will continue to be administered under the terms of this
Agreement unless otherwise agreed in writing
- Any rights granted to Times Two with respect to any Release delivered during the term shall survive
termination of this Agreement for so long as such Release remains distributed, monetized, administered,
subject to royalty collection, or otherwise commercially exploited

This is a non-exclusive distribution agreement.
- Artist may distribute music through other distributors
- Only Releases delivered through Times Two are governed by this Agreement

Artist grants Times Two a non-exclusive right to:
- Distribute Artist’s sound recordings (“Masters”)
- Administer, monetize, and manage those Releases across digital channels
This includes:
- DSP distribution (Spotify, Apple Music, Amazon Music, TikTok, YouTube, and similar services)
- YouTube monetization and UGC administration
- Manual claiming of user-generated content
- Metadata management and backend optimization
- Takedowns, re-uploads, and content management
This Agreement does not include publishing rights.
Catalog / Assignment Protection
- Times Two may, in its sole discretion, transfer, assign, license, or migrate its distribution, administrative,
collection, and monetization rights under this Agreement to any affiliate, successor entity, financing partner,
acquirer, purchaser of assets, or replacement distribution / platform partner
- Any such assignment, migration, transfer, or restructuring shall not reduce Artist’s applicable revenue
share below the percentages expressly set forth in this Agreement
- Artist acknowledges that Times Two’s rights in connection with distributed Releases constitute an
ongoing revenue and business asset of Times Two for so long as such Releases remain commercially exploited
under this Agreement

- Artist retains one hundred percent (100%) ownership of all Masters
- Times Two receives distribution and administrative rights only
- No ownership transfer is implied
6.) Platform Functions

Times Two may provide the following functions in connection with distribution:

- Global digital distribution to DSPs
- YouTube Content ID monetization and UGC tracking
- Revenue collection and reporting
Platform Review & Approval
- All Releases submitted by Artist are subject to review by the Times Two team prior to distribution
- Times Two reserves the right to:
- Approve a Release for distribution
- Request edits or additional information
- Reject a Release at its discretion
- Times Two will communicate approval or rejection to the Artist in a timely manner
Optional Support (Non-Guaranteed)
Times Two may, at its discretion, provide assistance including:
- Release strategy guidance
- Content calendar suggestions
- Creative or A&R feedback
- Improvements to DSP release quality and presentation, including:
- Motion cover implementation
- Pre-save setup and optimization
- Multi-disc configurations (Disc 1 / Disc 2 formatting)
- General platform optimization
Any such support is not guaranteed and may vary by Artist or Release.
Additional Opportunities (Non-Guaranteed)
- Playlist pitching through partner network
- Sync and licensing outreach
Times Two does not guarantee results from optional support or opportunities.
Backend Operations
- Uploading and metadata management
- Analytics tracking and reporting
7.) Revenue Split
7. Revenue Split
7.1 Current Distribution Structure
- Current joint venture partner fee: up to twenty percent (20%) of Gross Revenue
After such deduction, Net Revenue shall be split as follows:
- ninety percent (90%) — Artist
- ten percent (10%) — Times Two
7.2 Future Distribution Structure
In the event that Times Two transitions to a different third-party distribution partner:
- Any third-party distribution fee shall not exceed twenty percent (20%) of Gross Revenue
- Following such deduction, Net Revenue shall continue to be split as follows:
- ninety percent (90%) — Artist
- ten percent (10%) — Times Two
7.3 Direct Distribution
In the event that Times Two elects to distribute Releases directly without a third-party distribution partner:
- No external distribution fee shall be applied
- Revenue shall be split as follows:
- eighty percent (80%) — Artist
- twenty percent (20%) — Times Two
- The decision to self-distribute shall be made at the sole discretion of Times Two
7.4 Synchronization Placements
Times Two shall have the right to pitch Artist’s Masters for synchronization opportunities, including film,
television, advertisements, video games, and other media.
All synchronization income referenced below applies to master-side income only.
(a) If secured by a third-party distribution or joint venture partner:
- Such partner shall receive fifty percent (50%)
The remaining fifty percent (50%) shall be split as follows:
- eighty percent (80%) — Artist
- twenty percent (20%) — Times Two
(b) If secured directly by Times Two:
- fifty percent (50%) — Artist
- fifty percent (50%) — Times Two
8.) Accounting & Payments
8. Accounting & Payments
- Statements shall be issued monthly, within forty-five (45) days after the end of each calendar month
- Payments shall be made within thirty (30) days following statement issuance
- All payments are subject to Times Two first receiving cleared funds, reports, and accounting data from its
distribution, monetization, and payment partners
- Artist acknowledges and agrees that delays in third-party reporting, processing, collections, reserves,
chargebacks, clawbacks, disputes, fraud reviews, or payout cycles may delay Times Two’s payment
obligations, and Times Two shall not be deemed in breach so long as it pays Artist within a commercially
reasonable period after actual receipt of funds
- Times Two may withhold payment until Artist’s accrued payable balance reaches a minimum threshold of
twenty-five dollars ($25.00)
- Times Two shall have no obligation to advance funds, pre-fund royalties, or make payments before actual
receipt of applicable revenue
- No advances, guarantees, minimum payment obligations, or fronted royalties are included unless
separately agreed in writing
Accounting Disputes
- Artist must notify Times Two in writing of any accounting dispute within ninety (90) days of statement
delivery
- If no dispute is raised within such period, the statement shall be deemed accepted and binding

9. Platform Control & Takedowns
- Artist may distribute music elsewhere on a non-exclusive basis
However:
- Once a Release is delivered and made live, takedown or removal is not guaranteed
- All removal requests are subject to Times Two and/or its distribution partners
- Times Two reserves the right to manage release timing, corrections, edits, re-deliveries, and takedown
procedures in its reasonable business discretion
Times Two is not liable for delays or inability to remove content once distributed.

Each Party represents and warrants that:
- It has full authority to enter into this Agreement
Artist represents that:
- Artist controls all rights necessary to the Masters
- All samples, features, producers, writers, and contributors are properly cleared
- No conflicting agreements exist
- Content does not infringe third-party rights
Times Two represents that:
- It has the right to distribute and administer the Masters delivered under this Agreement
- It shall account for and pay all sums due to Artist in accordance with this Agreement in a timely manner,
subject to the receipt of funds and reporting from third-party partners as outlined herein
These obligations survive termination.
11.) Compensation

- This is a royalty-based agreement only
- No advances are included unless separately agreed in writing
- No hidden fees shall apply beyond the splits expressly stated in this Agreement
12.) Indemnification
12. Indemnification
Artist agrees to indemnify, defend, and hold harmless Times Two, its affiliates, officers, employees,
contractors, and partners from and against any claims, damages, losses, liabilities, costs, and expenses
(including reasonable attorneys’ fees) arising out of:
- Artist’s breach of this Agreement
- Copyright claims
- Rights disputes
- Unauthorized samples or use of third-party materials
- Misrepresentations made by Artist
13.) Limitation of Liability / Third-Party Delays
13. Limitation of Liability / Third-Party Delays
- Times Two shall not be liable for delays, interruptions, errors, failures, or losses caused by:
- third-party distributors
- DSPs
- payment processors
- rights management partners
- force majeure events
- internet outages
- events beyond its reasonable control
- Times Two’s total liability under this Agreement shall not exceed the total fees retained by Times Two
from Artist’s applicable Releases during the twelve (12) months preceding the claim
14.) Governing Law / Dispute Resolution
14. Governing Law / Dispute Resolution
This Agreement shall be governed by and construed under the laws of the State of California, without
regard to conflict of law principles.
Any dispute arising under or relating to this Agreement shall be brought exclusively in the state or federal
courts located in Los Angeles County, California.
Each Party consents to the personal jurisdiction and venue of such courts.
15.) Miscellaneous
15. Miscellaneous
- Amendments must be in writing and signed by both Parties
- This Agreement applies only to Releases distributed through Times Two
- Both Parties agree to operate in good faith
- If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and
effect
- Artist may not assign or transfer this Agreement without Times Two’s prior written consent
- Times Two may assign this Agreement in connection with a business transfer, merger, sale, financing,
catalog transaction, or platform restructuring
16.) Acceptance
16. Acceptance
By submitting a Release through the Times Two platform and selecting or checking the applicable “Terms
and Conditions” acceptance box, Artist acknowledges that:
- Artist has read and understood this Agreement
- Artist agrees to be legally bound by its terms
Such digital acceptance shall constitute a legally binding agreement equivalent to a signed written contract.
